The Children’s Medical Center of Dayton is a private, not-for-profit 501(c)(3) organization governed by a volunteer Board of Trustees (the “Board”). The final authority and responsibility to exercise the corporate powers, the management of the corporate property, and the conduct of the corporate affairs cannot be delegated and always rests with the Board. The Board empowers the Dayton Children’s management team to carry out the day-to-day business of Dayton Children’s, consistent with Board oversight.
The board operates in accordance with the corporate Code of Regulations and is charged with the oversight responsibility for the mission, quality and patient safety strategic direction, financial performance, management and advocacy of Dayton Children’s. The board is charged with the authority to elect and remove Dayton Children’s officers. The chief executive officer is responsible directly to the board for the day-to-day management of Dayton Children’s.
Outstanding individuals from various professions, geographic areas and areas of interest are selected via a Nominating Committee process to comprise the Dayton Children’s board. Board members annually agree to abide by written conflict-of-interest and confidentiality policies. Board members also work to represent and balance the interests of Dayton Children’s many constituents. The board annually evaluates its own performance. The board complies with all current Joint Commission for the Accreditation of Health Care Organizations (JCAHO) standards for proper governance structure and function, and has applied principles from the private sector to ensure accountability in responsible governance in the non-profit sector.
